Inyun AI Terms of Service

1. Who We Are

Inyun AI ("Inyun," "we," "us," or "our") uses artificial intelligence and other technology to help facilitate connections and encounters between people, primarily in campus environments. These Terms are an agreement between you and the Inyun AI operating entity (the "Company").

2. Eligibility

• Age: You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Services.
• Location: You may use the Services only where they are legally available. You are responsible for complying with all applicable laws and regulations.
• Authority: By using the Services, you represent and warrant that you have the right, authority, and capacity to agree to these Terms.

3. Account, Registration, and Waitlist

• Waitlist & Onboarding: To access certain parts of the Services, you may need to join a waitlist, complete onboarding questions, or provide additional information (for example: name, college email, date of birth, phone number, LinkedIn, and photos).
• Accurate Information: You agree to provide true, accurate, current, and complete information and to keep it updated.
• Account Security: You are responsible for maintaining the confidentiality of any credentials or verification codes associated with your use of the Services and for all activities that occur under your account or identity.

4. Description of the Services

Inyun AI may provide, among other things:

• Waitlist & Onboarding: A process for joining a waitlist and sharing information about yourself (such as preferences, availability, and photos).
• AI-assisted matching: Use of AI models and heuristics to suggest potential encounters or connections with other users.
• AI chat: An AI assistant you can chat with (including via SMS) for guidance, conversation, and coordination related to encounters and related topics.
• SMS & notifications: Text messages and other communications related to your account, onboarding, waitlist status, AI chats, and encounters.

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, subject to applicable law.

5. AI, No Professional Advice, and No Guarantees

• AI-generated content: The Services may use large language models and other AI technologies to generate content and suggestions. AI-generated outputs may be incomplete, incorrect, or misleading.
• No professional advice: The Services do not provide medical, psychological, legal, financial, or other professional advice. Any information provided is for general informational and entertainment purposes only. Always seek advice from qualified professionals where needed.
• No outcome guarantees: We do not guarantee that any particular encounter, relationship, outcome, or experience will occur or meet your expectations.

6. User Responsibilities and Conduct

You agree not to use the Services in any way that violates these Terms or any applicable law, including (without limitation) by:

• Harassing, threatening, abusing, stalking, or otherwise harming others, including through messages or content you send or share.
• Sharing or requesting content that is hateful, discriminatory, sexually explicit, exploitative, or otherwise inappropriate, including but not limited to content involving minors, non-consensual activity, or illegal acts.
• Impersonating any person or entity, or misrepresenting your identity, age, affiliation, or intentions.
• Uploading or sharing content that infringes any third-party rights (including privacy, publicity, copyright, or trademark).
• Attempting to probe, scan, or test the vulnerability of our systems or networks or to circumvent any security or authentication measures.
• Using automated means (bots, scrapers, crawlers) to access or interact with the Services without our prior written permission.

We may monitor and review activity on the Services (including AI-mediated conversations and SMS interactions) for safety, abuse prevention, quality control, and compliance with these Terms, as permitted by law.

7. User Content and License

"User Content" includes any information, text, images, photos, responses to questions, preferences, messages, and other content you submit or otherwise make available through the Services.

By submitting User Content, you grant Inyun a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content in connection with operating, improving, and providing the Services (including training and improving models where legally permitted and as described in our Privacy Policy).

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate these Terms or any third-party rights. We may, but are not obligated to, remove or restrict access to any User Content that we believe violates these Terms or applicable law.

8. Privacy

Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, and share your information. By using the Services, you consent to our collection and use of your information as described in the Privacy Policy. If there is a conflict between these Terms and the Privacy Policy, these Terms govern your use of the Services and the Privacy Policy governs our handling of your personal data.

9. SMS, Communications, and Consent

• SMS messages: If you provide your phone number, you agree that Inyun may send you SMS messages related to your account, waitlist status, onboarding, AI chat, and/or other service-related updates. Message frequency may vary depending on how often you engage with the Services. Msg & data rates may apply.
• Your consent: By entering your number, you agree to receive SMS from Inyun AI at the number you provide.
• Opt-out: You can opt out of SMS at any time by replying STOP (or a similar recognized opt-out keyword). After you opt out, you may still receive non-promotional messages where permitted by law (for example, important service or safety notices).
• Help: For assistance, you may reply HELP or contact us at our support email.

You are responsible for keeping your contact information up to date and secure.

10. Third-Party Services and Links

The Services may link to or integrate with third-party websites, services, or platforms (for example, LinkedIn, analytics providers, or communication tools). We are not responsible for the content, policies, or practices of third-party services. Your use of any third-party service is subject to that service's own terms and privacy policies.

11. Intellectual Property

• Our rights: The Services, including all software, designs, text, graphics, logos, trademarks, and other materials, are owned by Inyun or its licensors and are protected by intellectual property laws.
• Limited license: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use.
• Restrictions: You may not copy, modify, distribute, sell, lease, reverse-engineer, or otherwise exploit any part of the Services except as expressly permitted in these Terms or with our prior written consent.

12. Disclaimers

To the maximum extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components, or that any content or information obtained through the Services will be accurate, reliable, or complete. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

To the maximum extent permitted by law, Inyun and its affiliates, officers, employees, agents, partners, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of, or inability to access or use, the Services; (b) any conduct or content of any user or third party; (c) any content obtained from the Services; or (d) unauthorized access, use, or alteration of your transmissions or content.

Our total liability for any claim arising out of or relating to the Services or these Terms is limited to the greater of (a) the amount you have paid to us (if any) for the Services in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100), or the minimum amount required by law if a higher amount is required.

14. Indemnification

You agree to indemnify, defend, and hold harmless Inyun and its affiliates, officers, agents, employees, partners, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right.

15. Termination and Suspension

We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if we believe you have violated these Terms or applicable law, if we believe your use poses a risk to other users, to us, or to the integrity or security of the Services, or if we discontinue or materially modify the Services. You may stop using the Services at any time. Provisions that by their nature should survive termination (for example, ownership, disclaimers, limitations of liability, and indemnification) will continue to apply.

16. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the jurisdiction in which Inyun AI primarily operates, without regard to its conflict of law principles. You and Inyun agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for the resolution of any disputes, except where otherwise required by applicable law.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top and may provide additional notice where required by law. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Services.
